BILLING, SUBSCRIPTION & REFUND TERMS
This Billing terms are effective as of February 23th, 2026.
These Billing, Subscription & Refund Terms ("Billing Terms") apply to paid purchases of Naksill services ("Services") and form part of the agreement between you ("Customer", "you") and Naksill LLC ("Naksill", "we", "us", "our"). If these Billing Terms conflict with our Terms of Service, these Billing Terms control for billing-related matters.
1) PLANS, PRICING, AND ORDER DETAILS
1.1 Plans and pricing. Paid plans, usage tiers, and prices are displayed on our website, in the dashboard, or in a written order form/quote. Plan features may vary by tier.
1.2 Taxes. Prices are exclusive of all taxes unless stated otherwise. You are responsible for any applicable sales tax, VAT, GST, withholding, duties, or similar government assessments, except taxes based on our net income.
1.3 Quotes and order forms. If you purchase under a written quote/order form, the terms in that document apply in addition to these Billing Terms.
2) BILLING MODEL AND USAGE
2.1 Subscription. Most paid plans are billed in advance on a recurring basis (monthly or annually, as selected at checkout or in the order form).
2.2 Usage-based components. Some plans may include usage-based charges (e.g., based on request volume, events, or other measured units). If usage-based billing applies, it will be described at checkout, in the dashboard, or in an order form.
2.3 Exceeding limits. If you exceed your plan's included limits, we may (a) apply overage charges, (b) upgrade you to the next tier, or (c) ask you to upgrade. The applicable behavior will be described in the dashboard or plan description.
2.4 Measurement. We calculate usage using our systems and logs. Our measurements are considered the authoritative record for billing purposes, unless proven incorrect.
3) PAYMENT PROCESSING
3.1 Payment methods. You must provide a valid payment method. We may accept credit/debit cards and other methods depending on your location and plan availability.
3.2 Payment processor. Payments are processed by our payment processor (e.g., Stripe). You authorize Naksill and the payment processor to charge your payment method for fees, taxes, and any applicable amounts under your subscription.
3.3 Failed payments. If a payment fails, we may retry the charge. If payment remains unpaid, we may suspend or downgrade the Services until payment is received.
4) RENEWALS
4.1 Auto-renewal. Unless you cancel in accordance with these Billing Terms, your subscription renews automatically at the end of each billing period.
4.2 Price changes. We may change prices for new subscriptions and renewals. If we change your price for a renewal, we will provide reasonable notice (e.g., via email or inside the dashboard) before the renewal takes effect, where required by law.
5) CANCELLATION
5.1 How to cancel. You may cancel by (a) using the subscription controls in the dashboard (if available), or (b) contacting us at billing@naksill.com.
5.2 Effect of cancellation. Cancellation stops auto-renewal. Unless otherwise stated, your subscription remains active until the end of the current paid billing period. We do not provide refunds for unused time in a billing period except where required by law or explicitly stated in these Billing Terms.
6) REFUNDS
6.1 General policy. Except where required by law or expressly stated in a written order form, fees are non-refundable once paid.
6.2 Chargebacks. If you initiate a chargeback without first contacting us to resolve an issue, we may suspend your account while the dispute is pending. We will provide relevant billing records to the payment processor.
7) DOWNGRADES, UPGRADES, AND PLAN CHANGES
7.1 Upgrades. Upgrades may take effect immediately. If an upgrade occurs mid-cycle, we may charge a prorated amount for the remainder of the billing period.
7.2 Downgrades. Downgrades typically take effect at the next renewal unless the dashboard states otherwise. Some features (including retention periods and data access) may change immediately if required by the new tier.
7.3 Plan changes and data. If you downgrade, you may lose access to certain features, retention windows, historical logs, or limits associated with the prior tier.
8) SUSPENSION FOR NON-PAYMENT
If your account is past due, we may suspend or limit the Services until payment is received. During suspension, some features may be disabled, and protections may be reduced or paused.
9) CREDITS
We may issue credits in our sole discretion (e.g., for billing errors). Credits have no cash value, are non-transferable, and may expire if not used within a stated period.
10) INVOICING
If we agree to invoice you (instead of card auto-charge), invoices are payable within the period stated on the invoice (e.g., Net 14 or Net 30). Late invoices may incur interest at the maximum rate allowed by law and/or result in suspension.
11) TRIALS AND PROMOTIONS
Trials and promotions may be offered with specific limits and terms. At the end of a trial, you may be required to add a payment method to continue on a paid plan. We may modify or end trials/promotions at any time, subject to applicable law.
