Each party may receive confidential information from the other. Confidential information includes non-public business, technical, or security information.
You agree to protect our confidential information with reasonable care and use it only to use the Services. We will do the same for your confidential information we receive.
This section does not apply to information that is public through no fault of the receiving party or was lawfully obtained without confidentiality obligations.
12) PRIVACY AND DATA PROTECTION
12.1 Privacy Policy. Our Privacy Policy explains how we handle personal data related to the website and Services.
12.2 Customer data. To the extent we process personal data on your behalf in providing the Services, you may be the controller and we may act as a processor/service provider. Where required, we can provide a Data Processing Addendum (DPA).
12.3 Subprocessors. We may use subprocessors to deliver the Services. A current list is available on our Subprocessors page.
13) WARRANTIES AND DISCLAIMERS
The Services are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Naksill disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, or that all threats will be detected or blocked. Security products reduce risk but do not eliminate it.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
14) LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Naksill will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, even if advised of the possibility.
- Naksill's total liability for all claims arising out of or relating to the Services or these Terms will not exceed the amount you paid to Naksill for the Services in the three (3) months preceding the event giving rise to the claim (or USD $100 if you used only a free plan).
Some jurisdictions do not allow limitations of liability, so these limits may not apply to you.
15) INDEMNIFICATION
You agree to indemnify and hold harmless Naksill and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- your use of the Services in violation of these Terms or applicable law,
- your websites, applications, or content,
- your configuration choices or misuse of the Services.
16) SUSPENSION AND TERMINATION
16.1 By you. You may stop using the Services at any time. Subscription cancellations and effective dates depend on your plan and billing terms shown at purchase.
16.2 By us. We may suspend or terminate your access to the Services if:
- you materially breach these Terms,
- your use poses a security risk to the Services or others,
- we are required to do so by law,
- payments are overdue.
Where reasonable, we will provide notice and an opportunity to cure.
16.3 Effect of termination. Upon termination, your right to use the Services stops. We may delete or anonymize data according to our retention practices and legal obligations.
17) CHANGES TO THE SERVICES AND TERMS
We may update the Services and these Terms from time to time. If we make material changes to the Terms, we will post the updated Terms and update the "Last updated" date. Continued use after the effective date means you accept the updated Terms.
18) EXPORT AND SANCTIONS COMPLIANCE
You agree to comply with applicable export control and sanctions laws and not to use the Services in violation of such laws.
19) GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue there.
20) MISCELLANEOUS
20.1 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
20.2 Entire agreement. These Terms, together with any order form, plan description, and policies referenced (including the Privacy Policy), form the entire agreement between you and us regarding the Services.
20.3 Severability. If any provision is held invalid, the remainder will remain in effect.
20.4 Waiver. Failure to enforce a provision is not a waiver.
20.5 Force majeure. Neither party is liable for delays or failures due to events beyond reasonable control (e.g., outages, natural disasters, war, labor disputes).
